1. Governing Law – Nicotine-Free Vitamin Strips (EU)

These products do not fall under tobacco legislation but are instead classified under food supplement and general consumer product regulations.
Therefore, the following general principle applies throughout Europe:

Governing Law for all EU Member States

This document and all transactions relating to nicotine-free vitamin strips shall be governed by the laws of the country of incorporation of IP BJ Holding B.V., namely the Netherlands. All disputes shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

Why?

EU legislation allows the seller to apply its homeland governing law.

Vitamin products fall under EU Food Law (Regulation (EC) No 178/2002) and the Food Supplements Directive 2002/46/EC, meaning there is no requirement to adopt a separate governing law for each EU Member State.

This approach avoids the complexity of handling 27 different legal regimes.

Practical (legally correct) formulation:

Governing Law – EU (Nicotine-Free Vitamin Strips)
This Agreement and all related matters shall be governed exclusively by the laws of the Netherlands, the country of incorporation of IP BJ Holding B.V. The courts of the Netherlands shall have exclusive jurisdiction over any dispute arising out of or connected to these products.

2. Governing Law – Nicotine-Containing Strips (United Kingdom)

These products do not fall under the UK Medicines Act as long as no medical claims are made.
They are classified as consumer goods rather than tobacco products, as they are not inhalation products.

For this category, the following governing law always applies in the United Kingdom:

Governing Law – England & Wales

For all nicotine-containing products supplied within the United Kingdom, the applicable law shall be the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.

Practical legal formulation:

Governing Law – UK (Nicotine-Containing Strips)
For nicotine-containing strips sold or distributed within the United Kingdom, this Agreement shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over all disputes relating to these products.
